Terms of Service

Welcome to MagikCompute. These Terms of Service (“Terms”) govern your access to and use of the MagikCompute website, console, APIs, documentation, model pages, workspaces, API keys, credits, billing features, observability features, and related services collectively, the “Services”.

These Terms are between you and MAGIK COMPUTE PTE. LTD., operating the MagikCompute service (“MagikCompute,” “we,” “us,” or “our”).

By accessing or using the Services, creating an account, generating an API key, purchasing credits, or making API requests, you agree to these Terms. If you do not agree, you may not use the Services.

Our Services

MagikCompute provides a platform for accessing AI models through APIs and related developer tools.

Our Services may include:

  • model browsing and model details;

  • API documentation;

  • developer console;

  • workspaces;

  • API key management;

  • credits and billing;

  • usage and observability features;

  • model inference APIs;

  • other related tools and features.

We may add, change, suspend, or remove features at any time.

Accounts

You may need an account to use certain parts of the Services, including the console, workspaces, API keys, credits, billing, and model APIs.

You may log in through supported third-party login providers, such as Google or GitHub.

You are responsible for:

  • keeping your account secure;

  • making sure your account information is accurate;

  • all activity under your account;

  • all API usage made through your API keys.

Workspaces

MagikCompute may allow you to organize projects and resources through Workspaces.

A Workspace may include API keys, settings, usage data, observability configurations, budgets, rules, or other project-level resources.

You are responsible for selecting and managing the correct Workspace when creating API keys, reviewing usage, or configuring related features.

API Keys

You may create API keys through the MagikCompute console.

API keys are sensitive credentials. You agree to:

  • keep API keys confidential;

  • not share API keys publicly;

  • not place API keys in public code repositories;

  • rotate or delete API keys if they are exposed;

  • use API keys only in accordance with these Terms.

You are responsible for all usage and charges generated through your API keys.

We may suspend, revoke, or limit API keys if we believe they are compromised, misused, or used in violation of these Terms.

Model APIs and Outputs

MagikCompute allows you to send requests to AI models and receive generated outputs.

You understand that AI-generated outputs may be inaccurate, incomplete, unsafe, biased, offensive, or unsuitable for your intended use.

You are responsible for reviewing and verifying outputs before relying on them.

You should not use outputs as the sole basis for high-impact decisions, including legal, medical, financial, employment, credit, housing, education, or safety-related decisions.

Credits, Billing, and Payment

Some Services may require payment or credits.

Credits are prepaid usage balance that may be used for paid model calls or other paid Services.

Charges may be based on factors such as model type, input tokens, output tokens, request count, usage volume, or other pricing rules shown on our website, console, or documentation.

You are responsible for all charges incurred through your account, workspaces, and API keys.

Payments are processed by Stripe. We do not store full payment card information.

Unless required by law or expressly stated otherwise, used credits are non-refundable. If there is a billing error or duplicate charge, please contact us at official@jalapeno-cloud.ai for review.

If your payment fails, your credits are insufficient, or we detect fraud or abuse, we may suspend or limit access to paid Services.

User Responsibilities

You agree not to use the Services to:

  • violate any law or regulation;

  • infringe intellectual property, privacy, or other rights;

  • generate or distribute malware, phishing, spam, or fraudulent content;

  • attempt unauthorized access to systems, accounts, APIs, or data;

  • harass, threaten, or harm others;

  • create illegal, abusive, exploitative, or harmful content;

  • misuse, overload, scrape, reverse engineer, or interfere with the Services;

  • resell or provide access to the Services as a competing platform without our written permission.

We may investigate and take action if we believe your use creates legal, security, operational, or reputational risk.

User Content

“User Content” means prompts, inputs, outputs, files, messages, API requests, workspace data, settings, and other content submitted to or generated through the Services.

You retain your rights in your User Content.

You grant us permission to process User Content as needed to:

  • provide the Services;

  • route API requests;

  • generate model outputs;

  • calculate usage and billing;

  • provide observability and logs;

  • troubleshoot errors;

  • prevent abuse;

  • improve reliability and security;

  • comply with legal obligations.

You are responsible for ensuring that you have the right to submit User Content to the Services.

Third-Party Services

MagikCompute may use third-party services for login, payment processing, hosting, analytics, monitoring, observability, model inference, and other functions necessary to provide the Services.

Your use of third-party services may be subject to their own terms and policies.

We are not responsible for third-party services, their availability, their content, or their data practices.

Service Availability

We try to provide reliable Services, but we do not guarantee that the Services will always be available, uninterrupted, secure, or error-free.

The Services may be unavailable due to maintenance, outages, model issues, network failures, security incidents, or other reasons.

We may change, suspend, or discontinue any part of the Services at any time.

Intellectual Property

MagikCompute owns or licenses the website, console, software, design, logos, documentation, APIs, and other materials that make up the Services.

You may not copy, modify, distribute, sell, reverse engineer, or create derivative works from the Services unless allowed by law or by written permission from us.

You may provide feedback or suggestions. We may use your feedback without restriction or compensation.

Termination

You may stop using the Services at any time.

We may suspend or terminate your access if:

  • you violate these Terms;

  • you fail to pay amounts due;

  • your account or API key appears compromised;

  • your use creates risk to us, other users, or third parties;

  • we are required to do so by law;

  • we discontinue the Services.

After termination, certain provisions will continue to apply, including payment obligations, intellectual property, disclaimers, limitation of liability, and dispute provisions.

Disclaimer

The Services are provided “as is” and “as available.”

To the maximum extent permitted by law, we disclaim all warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and reliability.

We do not guarantee that model outputs will be accurate, safe, complete, or suitable for your use.

Limitation of Liability

To the maximum extent permitted by law, MagikCompute will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the maximum extent permitted by law, our total liability for any claim related to the Services will not exceed the amount you paid to MagikCompute in the three months before the event giving rise to the claim, or USD $100, whichever is greater.

Changes to These Terms

We may update these Terms from time to time.

If we make material changes, we may notify you by posting the updated Terms on our website or through the console.

Your continued use of the Services after the updated Terms become effective means you accept the updated Terms.

Governing Law

These Terms are governed by the laws of SINGAPORE, unless applicable law requires otherwise.

Any disputes will be resolved in arbitration administered by the Singapore International Arbitration Centre (SIAC) in Singapore in accordance with the SIAC Rules, unless applicable law requires otherwise.
